Boris, David B.
David Boris is a Senior Managing Director and Head of Investment Banking at Pali Capital, Inc. Prior to joining Pali, Mr. Boris was a founding member and Managing Director of Morgan Joseph & Co. Inc., where he was Head of both the Financial Sponsors and Media Groups. In addition, Mr. Boris was instrumental in Morgan Joseph’s expansion into new product areas such as Structured Equity Acquisition Company underwriting. Mr. Boris is the former President of Ladenburg Thalmann Group Inc., and was also Executive Vice President and Head of Investment Banking. In addition, he was a co-founder, Director, and a principal shareholder of Brenner Securities Corporation and its successors. Mr. Boris was also previously employed at Oppenheimer & Company, as a Senior Vice President and Limited Partner. Mr. Boris began his career as a member of the Business Development Group of W.R. Grace & Company.
Mr. Boris is a graduate of Columbia Business School and a graduate of Vassar College, cum laude. Mr. Boris is an active member of the New York Metro Chapter of the Young President's Organization.
Stephenson, Randal
Randal Stephenson is a Senior Managing Director and Head of Mergers, Acquisitions and Corporate Advisory at Pali Capital, Inc. Randal is a nationally recognized M&A expert with over nineteen years' experience, having completed over 150 investment and M&A advisory transactions valued at approximately USD 30 billion in the U.S., Asia, Europe, and Latin America. Randal's transaction experience encompasses distressed and turnaround principal investment, "bulge bracket" investment banking advisory to the world's largest corporations, and "middle market" M&A and distressed advisory involving distressed, special situation, and bankruptcy-related transactions.
Prior to Pali, Randal was Head of the Middle Market & Acquisitions Group and Head of Distressed & Special Situations Advisory at CIT. Prior to CIT, Randal was a Managing Director in the Mergers & Acquisitions Group at Jefferies & Company, where he oversaw the Exclusive Sales & Divestitures and Distressed Restructuring-Related M&A Advisory practices.
Randal came to Jefferies from Merrill Lynch & Co., where he was a Director and Head of the New York office of Merrill's Middle Market Mergers & Acquisitions Group, which became one of the world's largest middle-market investment banking platforms. Prior to Merrill, Randal worked at the well-known advisory boutique Wolfensohn & Co. where he was a Principal and Co-Head of the Asian Cross-Border M&A Advisory practice, and later when the firm was sold to Bankers Trust / Deutsche Bank, he was a senior mergers and acquisitions banker focused on the industrial and consumer sectors. Randal began his professional career as a bankruptcy and M&A lawyer with the Boston law firm of Choate, Hall & Stewart.
Randal received his BA in economics from the University of Michigan, his J.D. (with distinction) from Boston College Law School (where he was editor of the law review), and his MBA from Harvard Business School. Randal is a member of the Turnaround Management Association, the American Bankruptcy Institute, and the Bars of Massachusetts and New York.

Gohd, Matt
Matt Gohd is a Principal Managing Director with Pali Capital. Matt’s efforts include advising Pali, along with several public companies, on strategic and capital structure issues. He also advises a select group of high net worth and institutional investors on investment strategy. Matt has been an active public and private equity investor for almost thirty years.
Prior to Pali, Matt served on the executive committee of the board of eDiets.com, Iconic Brands and Onstage Entertainment. He served as Chairman of Bluestone Capital, an investment banking boutique, until its sale in 2001. Bluestone originated over $1 billion in sole managed public offerings across technology, retail, biotech, and the internet.
Matt was a founding board member of the Starlight Foundation of New York. Additionally, Matt served as an advisor to the Chairman of the Congressional Committee investigating the crash of 1987. Matt has been actively involved in five presidential and numerous congressional campaigns over the years.
Powell, R. Michael
Michael Powell is a Managing Director at Pali Capital, Inc. Prior to joining Pali, Mr. Powell was a founding member and Managing Director at Morgan Joseph & Co. Inc., where he was primarily responsible for building the firm’s Structured Equity Acquisition Company underwriting business. Prior to joining Morgan Joseph, Mr. Powell held positions in the Generalist/M&A Group at ING Barings and in the Energy & Natural Resources Group at UBS Securities.
Mr. Powell is a graduate of the University of North Carolina at Chapel Hill, where he was a member of Phi Beta Kappa. Mr. Powell also holds the Chartered Financial Analyst designation.
